COMMERCIAL & DELIVERY TERMS

Clear scope. Quiet delivery.

This page explains how an enquiry becomes an approved white-label engagement. It is not itself a contract. The mutually agreed NDA, MSA and project SOW, together with the invoice, govern accepted work.

Vendor approval pack

For procurement or vendor approval, request the current legal-entity details, registered country, billing currency, tax or VAT treatment, payment method and project documentation at hello@agemandi.by before work is approved. These details must be confirmed for the specific contracting party and are not inferred from this website.

NDA, MSA and SOW

A mutual NDA can be signed before confidential material is shared. Accepted work is defined in a written Statement of Work covering deliverables, timeline, feedback rounds, decision owners, dependencies and acceptance criteria. A Master Services Agreement can govern ongoing engagements.

Pricing, invoice and payment

Website prices shown on this page are starting points for defined Figma-only scopes. The final proposal and invoice state the agreed currency, payment schedule, taxes where applicable, payment method and any approved expenses. Production begins only after the agreed commercial conditions are met.

Confidentiality and client contact

Work is confidential by default. No public credit, portfolio disclosure or direct client contact is provided unless the agency authorises it in writing. Your agency remains the client-facing relationship.

Files, IP and handoff

The SOW defines the Figma source files, components, responsive states, specifications and handoff. Intellectual-property transfer, licence scope and any third-party asset restrictions are stated in the applicable agreement and take effect only as that agreement provides.

Changes, cancellation and liability

Changes to scope, timing or feedback ownership are agreed in writing before additional work begins. Cancellation, paused work, fees for completed work, warranties, liability limits and dispute handling are set out in the signed MSA or SOW, not assumed from this page.

Personal data and governing law

Do not include passwords, regulated personal data or client credentials in an initial brief. Where project work requires personal-data processing, the parties agree the appropriate data-processing terms before transfer. The governing law and jurisdiction are expressly named in the signed agreement for that engagement.
